Mano CG – Supplier and Contractor Code of Conduct

Mano CG is built on a foundation of integrity, quality, and responsible stewardship of our projects, people, and planet. Our success depends on the trust we earn from clients, communities, and stakeholders. We expect all suppliers, subcontractors, consultants, vendors, and their personnel (collectively, “Contractors”) to honor these values.

This Code of Conduct sets out the mandatory standards that Contractors must meet in all dealings with or on behalf of Mano CG and its Customers (collectively, “Customer”). It forms part of our contractual relationship and is enforceable alongside project agreements.

Acceptance and compliance with this Code is a prerequisite for all recommendations and contractual work through the Customer

Introduction and Commitment

  • Contractors shall comply with all applicable laws and regulations, including those related to labor, safety, environment, taxation, anti-bribery, and data protection.

  • Contractors must act honestly and transparently in all transactions and uphold the highest standards of fair dealing.

  • No bribes, facilitation payments, kickbacks, or improper inducements may be offered or accepted. Contractors must comply with all applicable anti-corruption laws, including the UK Bribery Act and the U.S. Foreign Corrupt Practices Act.

  • Contractors shall avoid anti-competitive behavior, including price-fixing, collusion, or bid-rigging. All business must be conducted in line with competition and antitrust laws.

  • Any personal, financial, or professional interests that may impair impartiality or loyalty must be declared to the Customer in advance.

  • Contractors must not engage in money laundering, financing of terrorism, or the use of illicit financial flows.

  • Contractors must ensure that goods and materials supplied to the Customer are sourced responsibly. Materials must not include conflict minerals from regions where their trade contributes to armed conflict or human rights abuses.

  • All proprietary, confidential, or sensitive information provided by or related to the Customer must be protected. Contractors must implement security controls to safeguard such information from unauthorized access or disclosure.

Ethical Business Conduct

  • Contractors shall not use any form of forced, bonded, or involuntary labor. Workers must be employed freely and have the right to terminate their employment.

  • Contractors shall not employ children below the legal minimum age or below 15 years, whichever is higher. Strict compliance with ILO Conventions and local law is required.

  • Contractors shall pay all employees at least the legally mandated minimum wage, provide all legally required benefits, and ensure humane working conditions.

  • Working hours must comply with applicable laws and must not exceed reasonable limits. Overtime must be voluntary and compensated.

  • Contractors must not discriminate against or harass any worker on the basis of race, gender, age, religion, disability, sexual orientation, or any other legally protected status.

  • Employees must be free to join trade unions and engage in collective bargaining where permitted by law. Contractors shall not retaliate against those who do.

Human Rights and Labor Standards

Workplace Health and Safety

  • Contractors shall provide a working environment that is safe, healthy, and compliant with applicable safety laws and industry best practices.

  • Contractors must identify risks and hazards, and implement preventative measures, training, and procedures for emergency situations.

  • All safety incidents related to work on Customer projects must be promptly reported to the Customer

Environmental Responsibility

  • Contractors must comply with all relevant environmental laws and permits and strive to minimize negative environmental impacts.

  • Contractors must avoid or minimize waste, pollution, emissions, and the use of hazardous substances. Responsible recycling and disposal practices are required.

  • Hazardous or chemical substances must be handled, stored, and disposed of safely and in accordance with legal and environmental requirements.

  • Contractors shall monitor and manage wastewater and solid waste with systems that minimize harm to people, animals, and the environment

Management, Oversight, and Compliance

  • Contractors must establish internal policies and controls to ensure ongoing compliance with this Code.

  • Contractors must ensure that their subcontractors and suppliers uphold standards equivalent to this Code and flow down these obligations contractually.

  • The Customer reserves the right to audit Contractor facilities, policies, and records without advance notice. Contractors must cooperate fully with any investigation.

  • Contractors must maintain channels for internal reporting of misconduct and protect whistleblowers from retaliation. Suspected violations relating to work for the Customer must be reported promptly and in good faith.

  • Retaliation against individuals who report violations, raise concerns, or participate in investigations is strictly prohibited.

Breaches and Termination

  • Material violations of this Code may result in termination of contracts or disqualification from future work with the Customer, at the Customer’s sole discretion.

  • The Customer may require a Contractor to implement a corrective action plan. Refusal or failure to comply may result in contractual remedies, including termination.

Acknowledgment and Agreement

  • By agreeing to this Code of Conduct, the company certifies that it understands and will comply with this Code of Conduct and that it will ensure all of its employees, agents, subcontractors, and affiliates working on behalf of the Customer are aware of and act in accordance with this Code.
